OUR PROFESSIONAL PRACTICE

1. Corporate Matters. Mergers and Acquisitions. The Law Firm currently advices local and foreign clients in corporate law matters, including incorporation and operation of companies in Argentina as well as abroad, relations among affiliated companies, reorganization and reestructuring of companies, shareholders agreements, voting trust agreements, rights and duties of shareholders, directors and trustees; stock transfers, shares trusts, tender offers, call and put stock options; merger and acquisitions of companies; sale and purchase of corporate assets, due diligence processes, regulatory approval by the National Antitrust Commission; and conflicts among shareholders.

2. International Transactions. Curutchet - Odriozola offers services to clients involved in international trade and transnational investment. We regularly provide counsel on the Transfer of Technology Law, international sale and purchase contracts, franchising, agency and distribution agreements, international financing, establishment of subsidiaries, branches and rep offices in the country, and on the foreign investment regime in general.

3. Financing. The Law Firm has a broad and diverse activity in the classic and modern forms of business financing, including financial loans with or without security, syndicated loans, investment agreements, securitization, private placing, public offer of debt or equity, issuance of negotiable instruments and bonds, financial trusts, swaps, project financing, real estate development, factoring, financial leasing, discount of commercial papers.

4. International Trade. The Law Firm also participates in tariff, duties and other cases referred to Mercosur, ALADI and WTO.

5. Internet. With the advent of the so-called New Economy, the Law Firm has incorporated a group of professionals devoted to assisting IT Start-Ups and corporate projects developed over the Internet. Curutchet-Odriozola offers a broad variety of services, such as organization of Argentine companies and foreign holding companies, draft of operational and financing contracts, shareholders agreements, revision of business plans, negotiation with investors, participation in capitalization rounds and negotiation of association contracts, mergers and acquisitions. It has also set up strategic agreements with IT companies and Internet incubators.

6. Intellectual and Industrial Property Law. Drafting of contracts and intervention in trademark and patent disputes, in cooperation with trademark agents registered in the Republic of Argentina and abroad. Registration of patents, trademarks, copyrights and Internet domains.

7. Privatizations and Public Procurement. The Law Firm has been actively involved during the last decade in the Argentine privatizations program. We have assisted numerous investors, Argentine as well as foreign, in the organization of bidding consortia, preparing the necessary documents, negotiating with the State, and carrying out the due diligence. We have participated in the privatization of ports, rail roads, river dredging, cereal elevators, TV channels, sewerage systems, power plants and oil distribution. We have also counselled clients on the filing of bids for rendering services or carrying out of public works.

8. Administrative Law. We offer counsel on conflicts between individuals and governmental authorities. We represent physical persons and companies in Court, and out of Court. We also carry out proceedings before the Central Bank of the Republic of Argentina, Ministry of Economy, Secretary of Industry and Commerce, Customs, Secretary of Transportation, Secretary of Energy and Mining, Secretary of Environment, COMFER, AFIP/DGI, Securities Commission, National Antitrust Commission, National Communications Commission and other federal, provincial or municipal agencies.

9. Tax Law. We are counsel for companies, partnerships and individuals on matters referred to Argentine tax and social security law, including federal, provincial and municipal taxes; lawsuits against the State before the Tax Court, Federal Courts, Court of Appeals, Supreme Court, including criminal tax cases. We also provide counsel on matters related to duty free zones regimes, Industrial Promotion and in particular in the transfer or participation in companies which have tax benefits established in those regimes.

10. Labour Law. The Law Firm has a broad expertise in representing companies on labour matters. We regularly assist clients in the drafting of employment contracts and compensation packages, in negotiations with unions and in termination cases. At any time we handle several hundred labour cases in the Ministry of Labour or in Labour Courts.

11. Environment. It counsels its clients on environmental issues, which, by virtue of the increase of regulations, have now a bigger impact on Argentina´s economic life and corporate activity. We have broad experience in the application of Law 24.051 on Hazardous Waste and filings with the Secretary of Environment.

12. Antitrust. It offers counselling on the application of Law 25.156 on Antitrust and the filings of acquisition petitions with the National Antitrust Commission.

13. Health. We have experience in counselling health maintenance organizations (medicina prepaga). We also represent laboratories before regulatory authorities (ANMAT, INAME). We take part in lawsuits of professional liability.

14. Entertainment. During years the firm has been offering services as attorneys for TV channels, radios, publishing houses and in the representation of artists and producers.

15. Mining. It counsels local and international clients on the acquisition, development, exploitation and assignment of mining rights.

16. Judicial Reorganizations and Bankruptcies. The Law Firm has broad experience in complex bankruptcy processes and judicial reorganizations. It has participated in some of the largest court reorganizations in Argentine history. Members of the firm serve as trustees or administrators in important bankruptcy processes. On a daily basis we deal with bankruptcy petitions, credit admittance requests and we counsel court-appointed trustees.

17. Lawsuits. We have an important litigation practice, covering any type of commercial, civil, labour, administrative and tax cases, in local and federal courts. We also count with a strong net of correspondent attorneys covering the whole country.

18. Arbitration and ADR. The Law Firm Curutchet-Odriozola, together with other leading Argentine law firms, has formed the Centro Empresarial de Mediación y Arbitraje. We have expertise in alternative means of dispute resolution and count with attorneys specialized in Arbitration and Mediation processes. We regularly participate in arbitration processes in different fora. Several of our attorneys are licensed as mediators in the city of Buenos Aires.

19. Collections. We handle any kind of collection lawsuits for banks, corporations or individuals, with or without security, including mortgage and pledge foreclosures, summary judgment proceeding, bankruptcy cases.
